About these Terms

These Terms of Service (the “Terms”) govern your use of iConnect, the AI calling platform operated by Technuf LLC (“we,” “us,” “our”). By creating an account, accessing the platform, or using any of its features, you (“you,” “Customer”) agree to these Terms. If you are accepting on behalf of an organization, you confirm you have authority to bind that organization.

These Terms work together with our Privacy Policy, which explains how we handle personal data.

The service

iConnect provides AI-powered calling and conversation tools, including AI voice agents, inbound and outbound call handling, automatic transcripts, knowledge-base integration, and an analytics dashboard. We may add, modify, or remove features over time.

AI processing. Calls placed or received through the platform may be answered by, transcribed by, or otherwise processed by AI models. Transcripts and call metadata are generated automatically. AI output can contain errors and should not be relied on as a substitute for human judgment in regulated or high-risk contexts.

Your account

You must be at least 18 years old and authorized to bind your organization. You are responsible for keeping your credentials confidential, for all activity under your account, and for ensuring members of your organization use the platform in line with these Terms.

Acceptable use

You agree not to use the platform to:

  • Place calls that violate applicable telecommunications, consumer-protection, or anti-spam laws (for example, unsolicited marketing calls without the recipient’s prior consent, or calls to numbers on a do-not-call list)
  • Impersonate any person or organization, or misrepresent the identity of the AI agent in a way that is unlawful or deceptive
  • Send harassing, threatening, fraudulent, or otherwise unlawful content, or use the platform for scams or phishing
  • Attempt to overwhelm, disrupt, or degrade the platform (e.g. abnormal call volume, denial-of-service attacks)
  • Reverse-engineer, scrape, or attempt to bypass the platform’s security or usage limits
  • Resell, sublicense, or expose the platform as a standalone service to third parties without our written consent
  • Generate, store, or distribute illegal content (including CSAM or content that infringes intellectual-property rights)

We may suspend or terminate accounts that violate this section without prior notice if necessary to protect the platform, its users, or third parties.

Your compliance responsibilities

You are responsible for using the platform in compliance with all laws that apply to you, your callers, and your call recipients. This includes (without limitation):

  • Obtaining any consents required to call, record, or transcribe a conversation in the relevant jurisdiction (some jurisdictions require all parties to consent to recording)
  • Disclosing the use of an AI agent where required by law
  • Maintaining a lawful basis for processing the personal data of the people you call, and handling data-subject requests you receive
  • Honoring opt-out, do-not-call, and unsubscribe requests

You agree to indemnify us against claims arising from your failure to meet these responsibilities.

Customer content

You retain ownership of the prompts, knowledge-base documents, voice configurations, recordings, transcripts, and other content you upload or generate through the platform (“Customer Content”). You grant us a worldwide, non-exclusive license to host, process, and transmit Customer Content solely to operate the platform and provide the service to you.

We may use aggregated, de-identified data derived from Customer Content to monitor performance, prevent abuse, and improve the platform. We do not use the substance of your calls, transcripts, or knowledge base to train third-party AI models without your explicit consent.

Third-party services

The platform integrates with third-party providers — for example, telephony carriers, voice and language model providers, and cloud infrastructure. Your use of features that depend on these providers is also subject to their terms. We aren’t responsible for outages or behavior of third-party services, but we work to keep these dependencies stable.

Fees and billing

Paid plans are billed on the cadence selected at signup (monthly or annual). Telephony usage, per-minute charges, and add-on services may be billed in addition to the subscription fee. Fees are non-refundable except where required by law. We may change pricing on renewal with reasonable advance notice.

Service availability

We work to keep the platform available and reliable, but we do not guarantee uninterrupted access. The service may be unavailable due to scheduled maintenance, third-party outages, force majeure, or factors beyond our reasonable control. We provide the service on an “as available” basis without a formal uptime commitment unless one is agreed in a separate written contract.

Suspension and termination

You may stop using the platform at any time by canceling your subscription. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or pose a material risk to the platform or other users. On termination, your right to use the platform ends; you may export your Customer Content for a reasonable period after termination before it is deleted.

Disclaimers

The platform is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by law. We do not warrant that the service will be error-free, uninterrupted, or that AI output will be accurate, complete, or fit for any particular purpose. You use AI-generated content at your own risk.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or relating to these Terms, even if advised of the possibility.

Our total aggregate liability arising out of or relating to these Terms is limited to the amounts you paid us for the service in the twelve (12) months immediately preceding the event giving rise to the claim. This limitation does not apply to your indemnification obligations or to liabilities that cannot be limited under applicable law.

Changes to these Terms

We may update these Terms from time to time. If a change is material, we’ll let you know by email or in-product notice before it takes effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.

Governing law and disputes

These Terms are governed by the laws of the State of Maryland, United States, without regard to conflict-of-law rules. Disputes will be resolved in the competent courts of that jurisdiction unless an alternative forum is required by applicable law.
